These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Golden Capital LLC, a Wyoming limited liability company ("Company," "we," "us," or "our"), with its registered office at 1621 Central Ave, Cheyenne, WY 82001, United States, operating the platform accessible at goldencirclecapital.com (the "Platform" or "Service").

By creating an account, accessing the Platform, submitting a registration request, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference.

If you are using the Service on behalf of a business or entity, you represent and warrant that you have the authority to bind that entity to these Terms.

Golden Circle Capital is a private financial ecosystem and membership platform providing members with access to:

• —Access to information regarding third-party investment funds and investment plans (PAC)
• —Affiliate programs including prop firm referrals and internal referral tracking
• —Business and legal support resources and consultation facilitation
• —Private network access connecting members with professionals in finance, business, and law
• —Educational resources regarding online business, faceless content creation, and digital monetization
• —A personal dashboard to monitor investment-related data submitted by the Company's administration

The Company reserves the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice. Access to certain features requires an active paid subscription.

To use the Service, you must: (a) be at least 18 years of age; (b) have the legal capacity to enter into binding contracts; (c) not be a resident of a jurisdiction where access to investment-related information is prohibited; (d) not be subject to economic sanctions or listed on any government-maintained prohibited persons list; and (e) have received approval from the Company following review of your registration request.

In compliance with the Children's Online Privacy Protection Act (COPPA), we do not knowingly collect personal information from children under 13. If we discover that a child under 13 has provided personal information, we will delete it immediately.

IMPORTANT: GOLDEN CAPITAL LLC IS NOT A REGISTERED INVESTMENT ADVISOR, BROKER-DEALER, FINANCIAL PLANNER, OR ANY OTHER TYPE OF REGULATED FINANCIAL SERVICES PROVIDER UNDER THE LAWS OF THE UNITED STATES, WYOMING, ITALY, THE EUROPEAN UNION, OR ANY OTHER JURISDICTION. THE COMPANY DOES NOT PROVIDE INVESTMENT ADVICE, FINANCIAL ADVICE, LEGAL ADVICE, OR ANY OTHER REGULATED PROFESSIONAL ADVICE.

Investment funds and plans referenced on the Platform are operated by independent third-party entities ("Fund Operators"). Golden Capital LLC acts solely as a facilitator and does not manage, control, or hold user funds at any time. All investment decisions are made solely at your own risk.

Past performance data, including historical return rates, does not constitute a guarantee of future results. All investments involve risk, including possible loss of the entire principal amount invested. You are strongly encouraged to seek independent financial, legal, and tax advice from qualified professionals before making any investment.

All contractual relationships regarding investments are established directly between you and the relevant Fund Operator. The Company is not a party to any investment contract and assumes no liability for the performance, solvency, or conduct of any Fund Operator.

You agree not to: violate any applicable law or regulation; transmit fraudulent or defamatory material; attempt unauthorized access to the Service or other accounts; transmit unsolicited commercial communications; impersonate any person or entity; reverse engineer any portion of the Service; use automated scripts or scrapers; share account credentials; engage in illegal financial activity, money laundering, or tax evasion; or post content that infringes intellectual property rights.

The Company reserves the right to terminate access for any user who violates these requirements, with or without prior notice, at its sole discretion.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, GOLDEN CAPITAL LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

GOLDEN CAPITAL LLC DOES NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; OR (D) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

ANY INVESTMENT PERFORMANCE DATA DISPLAYED ON THE PLATFORM REPRESENTS HISTORICAL RESULTS AND IS NOT A GUARANTEE OF FUTURE PERFORMANCE. ALL INVESTMENTS INVOLVE RISK AND THE POSSIBLE LOSS OF PRINCIPAL.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE WYOMING LAW AND FEDERAL LAW, IN NO EVENT SHALL GOLDEN CAPITAL LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, INVESTMENT LOSSES, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

THE TOTAL AGGREGATE LIABILITY OF GOLDEN CAPITAL LLC TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID TO THE COMPANY IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED EUROS (€100.00).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. Accordingly, some limitations above may not apply to you.

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Golden Capital LLC and its members, managers, officers, agents, partners, and employees from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorneys' fees) arising from: your access to or use of the Service; your violation of any provision of these Terms; your violation of any applicable law or regulation; your violation of any third-party rights; any User Content you submit; any investment decisions you make; or any claim that your use of the Service caused damage to a third party.

CLASS ACTION WAIVER: YOU AND GOLDEN CAPITAL LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS PROCEEDING. IF THIS PROVISION IS FOUND UNENFORCEABLE, THE ENTIRETY OF THIS ARBITRATION SECTION SHALL BE NULL AND VOID.

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of law principles. For any Dispute not subject to arbitration, you and Golden Capital LLC submit to the exclusive personal jurisdiction of the state and federal courts located in Laramie County, Wyoming. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

The Company may terminate or suspend your account immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination: (a) your right to use the Service ceases immediately; (b) outstanding subscription fees for the current billing cycle remain due and non-refundable; (c) Sections 8, 9, 10, 11, 12, and 13 survive termination. You may terminate your account at any time by canceling your subscription through your account dashboard.

The Company reserves the right to modify these Terms at any time. For material changes, we will provide at least thirty (30) days' notice via email or through a prominent notice on the Platform. Your continued use of the Service after the effective date of revised Terms constitutes acceptance of the new Terms.
